LOWER HENLADE AND STOKE ROAD RESIDENTS’ ASSOCIATION

 

CONSTITUTION

 

1          NAME:  The Association shall be called the Lower Henlade and Stoke Road Residents’ Association.

2          POLITICS:  the Association shall be non-political and non-sectarian.

3          OBJECTS:  The objects of the Association shall be to promote, uphold and protect the interests of residents in all matters affecting or likely to affect Lower Henlade and Stoke Road and their environment and to provide a forum for residents to meet and express views.

4          MEMBERSHIP AND SUBSCRIPTIONS:  Membership shall be open to all residents of Lower Henlade and Stoke Road paying an annual subscription.  The subscription shall be £3.00 per household.  Any change in subscriptions will be agreed at an Annual General Meeting.

5          OFFICERS:  The Officers of the Association shall be a Chairman, Vice Chairman and Treasurer.  In addition there will be a minimum of 1 and a maximum of 3 Committee Members.  Three shall form a quorum. The maximum period of office for Officers and Committee Members will be 2 years, but they may offer themselves for re-election at an AGM.  Nominations for Officers and Committee Members must be received by the Committee no fewer than 28 days prior to the AGM.

6          ANNUAL GENERAL MEETING:  The AGM will take place each year during the month of October, commencing October 2009, at which the Chairman’s Annual Report and the Treasurer’s Statement of Accounts will be presented.

7          COMMITTEE / GENERAL MEETINGS:  Meetings will take place every 6 months commencing October 2008.  Other general meetings may be called by members at the discretion of the Committee.

8          FINANCE:  The Treasurer shall keep the Accounts of the Association.  All payments to the Association shall be held by the Treasurer or paid into a bank account in the name of the Association.  All expenditures shall be approved by the Treasurer and one other Officer.

9          CONSTITUTION:  Suggestions to alter the Association’s Constitution must be received by the Committee no fewer than 28 days prior to the AGM.  Members who are unable to attend an AGM will be given the opportunity to vote on suggested alterations to the Constitution prior to the AGM. The Constitution shall not be altered without the approval of two thirds of the total of members present at an AGM plus members voting before that AGM.  

10       DISSOLUTION:  The Association may only be dissolved by a two thirds majority voting at an Annual General Meeting.  Upon dissolution, the available funds of the Association shall be transferred to a local charity.

We are opposed to all forms of unlawful or unfair discrimination. All persons dealing with us will be treated fairly and will not be discriminated against on any of the above grounds.
